Filings Bureau
LLC Reinstatement

Reinstate your cancelled LLC.

If the state administratively cancelled your LLC for a missed annual filing, there's a limited window to bring it back. Filings Bureau handles the full reinstatement — filed correctly, on time, with the state.

Filings Bureau is not affiliated with any government agency.

The clock is running

Cancelled is not the end — but the clock is running.

When your Virginia LLC is administratively cancelled under Va. Code § 13.1-1050.2, you stop being recognized as an active business entity in the Commonwealth. Your name protection, your liability shield, and your standing to enforce contracts all disappear the day the SCC marks you cancelled.

Virginia gives you a five-year window to reinstate under Va. Code § 13.1-1050.4. Each year you wait, the cost climbs by roughly $75 — and after five years, reinstatement is permanently unavailable.

We file your reinstatement application from start to finish, pay the SCC fees on your behalf, and confirm the order of reinstatement once accepted.

Who this is for

Reinstatement is right for you if…

Owners who received a cancellation notice

The SCC sent you a notice of cancellation and you need to act fast to restore your LLC before the five-year window closes.

Founders who discovered their LLC is inactive

You went to renew, open a bank account, or sign a contract and found out the state had quietly cancelled your entity.

Multi-entity operators with lapsed filings

You manage multiple LLCs across states and one or more Virginia entities slipped past the annual registration deadline.

Owners who'd rather hand it off

The CIS portal, share counts, and back-fee math are confusing. You'd rather hand the paperwork to a service and move on.

How this service works

Three steps. We handle the SCC.

1

Answer a few questions

Complete a short form with the basic details Virginia requires for reinstatement — entity name, SCC ID, cancellation date, and current owner/officer information.

2

We prepare and file

We verify your information against SCC records, prepare the Application for Reinstatement, pay the state fees on your behalf, and submit the filing through the official SCC channel.

3

You receive your Order of Reinstatement

Once the SCC accepts the filing, we send the Order of Reinstatement directly to your inbox. Your existence is deemed to have continued from the date of cancellation.

FAQ

Common questions.

How long do I have to reinstate my Virginia LLC?

Five years from the date of cancellation, under Va. Code § 13.1-1050.4. After that window closes, reinstatement is permanently unavailable and you cannot recover the entity — you would need to form a new LLC, and the original name may no longer be protected.

What does reinstatement actually do?

Once the SCC enters an order of reinstatement, your LLC's existence is deemed to have continued from the date of cancellation. The gap is legally closed — contracts entered during the cancellation period are validated, your liability shield is restored, and your name protection comes back.

Why does the cost go up each year?

Virginia charges a $50 back annual registration fee plus a $25 late penalty for every year your LLC was cancelled. The $375 today price assumes one year of back fees. At year five, that math adds roughly $300 in additional state charges.

Can I file the reinstatement myself?

Yes — you can file directly with the Virginia SCC at scc.virginia.gov and pay only the state fees. This is a commercial filing service offered as a convenience. Filings Bureau is not a government agency, is not affiliated with any government entity, and is not providing legal advice.

What about the other 10 states?

We file reinstatements in 10 additional states by request: Utah, Washington, Colorado, Hawaii, Oklahoma, New Jersey, South Dakota, Wyoming, Connecticut, and Oregon. Pricing varies by state fee schedule and missed years — open the state's page and submit an inquiry for a quote.

What if my LLC was cancelled more than a year ago?

The $375 package covers one year of back fees and penalties. If your LLC has been cancelled longer than that, additional state charges apply. Email support@filingsbureau.com and we'll quote the exact total based on your cancellation date.
