How long do I have to reinstate my Virginia LLC?
Five years from the date of cancellation, under Va. Code § 13.1-1050.4. After that window closes, reinstatement is permanently unavailable and you cannot recover the entity — you would need to form a new LLC, and the original name may no longer be protected.
What does reinstatement actually do?
Once the SCC enters an order of reinstatement, your LLC's existence is deemed to have continued from the date of cancellation. The gap is legally closed — contracts entered during the cancellation period are validated, your liability shield is restored, and your name protection comes back.
Why does the cost go up each year?
Virginia charges a $50 back annual registration fee plus a $25 late penalty for every year your LLC was cancelled. The $375 today price assumes one year of back fees. At year five, that math adds roughly $300 in additional state charges.
Can I file the reinstatement myself?
Yes — you can file directly with the Virginia SCC at scc.virginia.gov and pay only the state fees. This is a commercial filing service offered as a convenience. Filings Bureau is not a government agency, is not affiliated with any government entity, and is not providing legal advice.
